Franchise Investor Offer:



This startup business franchise opportunity and responsibility is too geographically extensive for ADI to professionally implement, screen and approve franchise investors/managers on their own. There are 81 provinces, further subdivided into component cities and municipalities . There are 144 cities of the Philippines as of December 31, 2013. Thirty-five of these are Highly Urbanized, five are Independent Component, with the rest being components of their respective provinces. Highly Urbanized Cities are local government units autonomous from provinces that have a minimum population of 200,000 and an annual income of at least PhP 50 million



Our goal is to establish 2,000 franchise units over 2 years in 81 provinces which is a challenge. ADI requests investors’ assistance to make this project a nationwide success and offer mutual financial benefits to all participants. Among ADI’s main operating priorities is to identify the first two (2) initial Foundation investors to become franchise managers, regional franchise directors and/or national franchise directors to assist in professionalizing this startup entity in a timely manner, nationwide. These first two investors will enjoy 2.5% original stock in the Global firm and in the local firm and have the option to sit on the Board. Hence enabling them to participate in the development .



Albeit the intent is to recruit only 5 ground floor foundation franchise equity owners, nationwide. Therefore, ADI offers investors three mutually beneficial business engagement options below:



Three Investor Engagement Options:



1) In the interest of time, a single investor may be considered. However we believe it will be more advantageous to have a small foundation of investors as these people or firms will have a vested interest to market the vehicle/s. ADI can appoint you or your firm as a Regional Managing Partner, which carries an extra 3% profit-share from same regional franchises’ annual net profits. So if for example a province has 60 franchises and generates $600K net profit investors will be paid an added profit-share of 3% of $600K = $18,000.



ADI can appoint you or your firm as a Regional Franchise Co-promoter which offers a fixed 3% fee, if you can introduce a few financially capable investors with capital to participate in this project. The required minimal investment is $50,000, so this fee will amount to: $50,000 x 3% = $1,500 a year find us 3 or 4 franchise owners and enjoy $1,500 a year for each that signs up with a continuous income stream of 3% of your investors net profit on sales. ADI wants to keep the project as: a) A ethnically diversified franchise in each region, nationwide. Business Opportunity Synopsis:



ADI seeks to invite and engage with only potential business investors as Foundation equity owners to participate on the ground floor in this recently created humanitarian-centric nationwide transport / service business opportunity. This IPO-planned franchise entity is being established to capture and dominate a disorganized, underserved, but massively sustainably profitable domestic niche market; also to create jobs, help reduce poverty and social inequity in economically distressed neighborhoods and communities in major towns/cities, within the 81 provinces. Responsible corporate citizenship, overtly demonstrated as being associated with job creation, in same local neighborhoods, is a committed ADI priority. This new ADI (registered in Delaware USA known as Trident Tricars International) business venture is to be undertaken by a ADI subsidiary Trident Motors Philippines to be registered with SEC.



After selection of the Foundation investors, no more investors will be invited or needed to participate in this start-up venture. Thereafter, the operations will be professionally organized and build, debt-free, into sustainable and confirmed domestic profitability, until going Public is considered after 5 years of business maturity. This business opportunity includes two concurrently implemented project development phases: A domestic assembly phase and solar charging station phase. First-Phase Investment Capital Requirement:



The projected first-round investment capital required during the initial 12 months: $5,000,000

ADI reps fixed nationwide straight fee payment structure shall be prorated as follows: A 3% fee paid, based on the investors that join the firm .



Trident Neighborhood Humanitarian Project:



A standard 5% of Tridents annual profits (excluding investors) will be donated in form of vehicles, every quarter to offer sustainable income to disadvantaged families in all communities where the company’s franchises are established.

There’s no single entity brand in the marketplaces which focuses and provides the quality and appeal of a Trident Hot Shot as a replacement for the Tricycles in the marketplace. Each province will have an established assembly center. Owners will be trained for one week in Clark with accommodation provided.



Each Manager will undergo an initial management training course to learning how to properly and effectively manage the operations productively, service and profitably.



All the units’ staff members at each location will also be exposed to the on-the-job training that is provided to the unit Manager at each location to permit them to have the opportunity to become inter-changeable staff/managers/assistant manager among units at any location within their exclusive territory.
