are guaranteed delivery of the Goods and payment for such Goods. Payments from Escrow Agent to Seller



shall only be released after Seller has provided clean title transfer to Buyer or its assignee, via the



Escrow Agent. No partial payment from Escrow Agent shall be made prior to clean title transfer.
