Belize legal update 2019

As you well know at the end of 2018the Government of Belize has introduced massive amendments to their laws to comply with the EU and the OECD (BEPS) requirements. To sum up the amendments of December 2018 for the international businessesBelize companies falling under licensing requirements in Belize must now have substance in Belize pay taxes in Belize and basically be subject to all relevant Belize laws. Requirements for substance for companies which are not subject to licensing under IFSC Act were not put forward and Belize IBCs continued to enjoy their offshore status as before. Amendments of 2018 have quite heavily affected IP companies which should have ceased to exist in Belize by July 2021. It is worth noting that these amendments of 2018 didn't work for Belize to avoid “EU black list”. Just within a month after Belize was included into the “EU black list”the Government of Belize adopts further quite drastic amendments to the International Business Companies Act (the Act was published on 27 March 2019 and became effective on 1 April 2019).



Below we tried to highlight key amendments which will fundamentally affect the activities of each and every company incorporated in Belize:

1. A definition is given to a pure equity holding company which means a company which is a holding bodyHas as its primary function the acquisition and holding of shares or equitable interests in other companiesHolds equity participation and earn only dividends and capital gains and Does not carry on any other commercial activity2. All companies engaged in any other activity than pure equity holding business shall be physically present in Belize and as a consequence pay taxes in Belize and file relevant reports.

3. Pure equity holding company is not required to be physically present in Belize is required to comply with filing requirements under the International Financial Services Commission ActChapter 272the Income and Business Tax ActChapter 55shall have adequate human resources and premises for holding and managing equity participations in other entities in the jurisdiction where such equity is held4. Companies may outsource their business activities in Belize. The scope of activities being outsourced must ensure minimum physical presence in Belize. No criteria of minimum physical presence have yet been developed.

5. Each Belize company must now file reports with the International Financial Services Commission regarding the outsourced business activities if any including information about the number of employees office expenditures and any other information which the Commission may deem necessary to submit.

So far the Regulator provided no explanations with regards to overseas substance criteria to pure equity holding companies neither it provided any clarifications on requirements or criteria for substance in Belize.

In order to procure the outsource activities of Belize companies the Regulator has made amendments into another law - the International Financial Services Commission Actin particular one more type of licenses has been introduced – Managing Agent.

Managing Agent will be entitled to carry on activities in Belize on behalf of Belize IBCs on outsource basis.

We assume that it is likely that Registered Agents in Belize through their affiliate companies will obtain Managing Agents licenses in order to ensure the substance for the companies of their clients. However the Regulator has not yet set any criteria for this type of license.
