m) CONDITION OF TANKS ON DELIVERY AND REDELIVERY: The vessel shall be delivered to Charterers with inerted cargo tanks, free from any slops or cargo remains and with last 3 cargoes CPP.



n) NOTICES: Delivery: Owner to advise, where applicable, 30/20/15 days tentative and firm 10/5/3/1 days prior to delivery.



Redelivery: Charterer to advise, where applicable, 30/20/15 days tentative and firm 10/7/5/3/1 days.

o) REDELIVERY: Worldwide in Charterers option.

p) VESSEL AGE: Desirable no more than 12 (Twelve) years old by the end of TCP. Preference will be given to below 10 years old.

q) DRYDOCKING: Vessel cannot drydock during CP period. In case vessel needs to dry dock, Owners will be responsible to arrange for a replacement vessel of same nature and at the same freight rate to be delivered prior the vessel´s departure from Angola.

r) REGULATIONS: Vessel and Owner shall remain in full compliance with applicable local and international conventions, laws, regulations and/or other requirements of the vessel´s registered country, as well as of countries and/or the ports and/or the places where the vessel may be ordered.

s) BUNKERS QUANTITIES AND PRICES:

Delivery : Charterers shall on delivery accept and pay for bunker quantity on delivery onboard. Prices will be as per bunker delivery note based FIFO and will exclude any delivery costs.

Redelivery: Owners shall on redelivery accept and pay for bunker quantity onboard. Quantity on redelivery to be about/ within 5% the same on delivery, prices on redelivery will be as per bunker delivery note based FIFO and will exclude any delivery costs.



t) BUSINESS SPECIFIC REQUIREMENTS: The vessel is to meet recommendations contained in OCIMF/ICS Ship To Ship Transfer Guide. Vessel To be approved by 3 oil majors including Total and Chevron Terminal.

u) CONSUMPTION MATRIX: All information must be guaranteed on wind forces from Beaufort Scale zero to 5, including 5. No Douglas Scale will be accepted, neither terms like “about”, “without guarantee”, “due diligence” or any other similar words.

v) COMPLIANCE: For the sake of internal compliance, neither Owner/beneficiary of freight and related expenses nor any of its affiliates can:

1. be owned or controlled by a person or entity subject to any economic, financial or trade sanctions, regulations, embargoes, or restrictive measures (Sanctioned Person) administered, enacted, imposed or enforced by the World Bank, the United Nations Security Council, the United States of America, the United Kingdom, the European Union, France, Italy, Austria, the Netherlands, Angola, and the respective governmental institutions and agencies of any of the foregoing.

2. be located, incorporated, organized, or resident in a country subject to any economic, financial or trade sanctions, regulations, embargoes, or restrictive measures (Sanctioned Country) administered, enacted, imposed or enforced by the World Bank, the United Nations Security Council, the United States of America, the United Kingdom, the European Union, France, Italy, Austria, the Netherlands, Angola and the respective governmental institutions and agencies of any of the foregoing.

3. have any business affiliation or commercial dealings with, or investments in, any Sanctioned Country or Sanctioned Person.



w) SUBJECTS TO BE LIFTED BEFORE DELIVERY:

I – Charterers’ management approval: to be given up to 10 (ten) Angolan working days after pre-agreement on all terms and conditions (Vessel on-subjects). Charterers reserve the right to ask for an extension;

II – Charterer’s vetting, which shall be unquestionable for accepting or rejecting the vessel. Charterers have the right to request a condition survey, an audit based on TMSA-2 checklist, SIRE and any other information for such acceptance. Vessel will be subjected to Sonangol vetting inspection at least once a year on owners expenses.

3)Trading: The vessel shall be allowed to trade to any part of the world, as Charterer shall direct via safe ports/berths within International Navigating Conditions currently in force and any subsequent amendment and/or replacement hereof excluding, without Owner’s prior acceptance, which shall be given in Owner’s absolute discretion: Iran, Iraq, Cuba, Angola, Lebanon, Namibia, Syria, Turkish occupied Cyprus, Sudan, Liberia, Libya, Nigeria, Côte d’Ivoire, Sudan, Mauritania, Ukraine, Russian Federation, Equatorial Guinea, Guinea Bissau, Yemen, North Korea, Cambodia, Ethiopia, Somalia and any countries, which are or may become during the currency of this Charter Party subject to UN and/or US and/or EU embargo/boycott/sanctions and/or embargo/boycott/sanctions by the country of the vessels flag and/or may be deemed by the Owner to be war and/or warlike areas within the definition of these terms in article CONWARTIME 2004.
