LESSEE is in a position to ACMI Lease one Boeing 777-300ER for a Term of one Years renewable .



The 777’s YOM are 2005/2006



Hourly Rate: around US$5,500.00 with minimum of 250 MBH. This rate of at least 250 MBH



LESSEE acknowledges that if it flies over the 250 minimum monthly average hours the cost per hour, after the 250 BH, drops to $4,000.00 for that month.



The LESSEE shall pay a security deposit of US$1,500,000, as distributed below:



$300K with signing of the LOI (it is refundable prior to LESSEE’s approval and aircraft acceptance). This deposit is to gain access to aircraft for inspection, if needed,



$500K after 2 weeks



$700K 1 month after signing of contract.



The first month lease to be paid in advance, after aircraft approval and contract signature by LESSEE. This will be paid to an escrow service. All payments will be handled in this manner.



Prefered LOPA 26C & 40 Comfort Y & 226 Y = 306 configuration, but it can be changed to 40 Comfort Y plus 306 Y = 346



Per Diems - $ 100 per day per person plus HOTAC for the ACMI. Leasee to pay only for Technical personnel, pilot, copilot and head purser.



LESSEE will be responsible for separately paying a Position and Reposition cost that must be paid before the LESSOR allows the aircraft(s) to leave their present location.



LESSOR will provide the AOC for the aircraft to fly per the current guidelines below.



Lessee will provide exact routing information to Lessor after complete signature of this LOI, because of its character of confidentiality.

Routes: COSTA DO MARFIM = ABDJAN____ (Weekly Basis)



MOÇAMBIQUE = MAPUTO________ (Weekly Basis)



SENEGAL = DAKAR_______________ (Weekly Basis)



OTHRES AIRPORTS_______________ (Weekly Basis)



Ratio cycle ________ Note: Routing is subject to approval by Lessor.



13. LESSEE Responsibilities:



All direct Operating Costs related to the operations are to be covered by LESSEE.



• Ground Handling (including push-back or power –push device, engine start-up, cargo handling, loading, and unloading the Aircraft and securing the Aircraft doors)



• Security checks



• Interior cleaning of the Aircraft



• Routes charges



• Landing and take-off charges



• Parking charges



• Fuel



• Crew per diems [$90usd per day x 10]



• De-icing



• In-flight services and catering charges and interior servicing



• Custom duties



• Traffic control taxes



• Royalties



• Crew catering
